Notification to Alro shareholders

Slatina, 30th October 2012 – In consideration of the fact that the identification data in the Shareholders’ Registry are not updated, which hinders the communication between the Company and its shareholders, particularly in the dividends distribution process, SC Alro SA informs all of its shareholders, Romanian natural persons, to update their current personal identification data (Personal Identification Number, first name, last name and current domicile) in case modifications have occurred with regard to these data.

The on-time collection of dividends, the reception of the information made available by the Company and implicitly the participation of the shareholders in the events given out through these notifications (for instance the General Shareholders Meetings) represent some of the benefits gained from registering the current identification data.

The identification data changing for the natural persons is made at the headquarters of the Central Depository, upon presentation of the following documents:

• Request for the identification data modification, signed by the financial instrument holder or their empowered person;
• Copy of the financial instrument holder’s identity document or any other relevant document supporting the request for the identification data modification; 
• Proof of having paid the fee related to the identification data modification operation concerning the natural persons;
• The following data shall be written on the postal order or money order:

o   S.C. DEPOZITARUL CENTRAL S.A.

o   Tax identification Number (CUI) RO 9638020;

o   Bank account:

o   Personal Identification Number(CNP) of the financial instrument holder (on the postal order back page).

The registered letters (with acknowledgement confirmation) sent to the Central Depository shall include, aside from the documents required to operate the modifications, also the fee payment evidence (copy of the money order or copy of the receipt given upon postal order submission). 

Making direct transfers for mortis causa (to the heirs)  

Operating direct transfers on the financial instruments from a deceased person’s account to the heirs’ accounts, upon the latter’s request, is made at the headquarters of the Central Depositary, upon presentation of the following documents:

• Request for direct transfer settlement;
• Notary mandate of attorney, in case the mortis causa  transfer is operated based on the request of the person empowered in this respect;
• Copy of the death certificate;
• Copy of the heir certificate/ legatee certificate specifying the current number of shares included in the succession property;
• Court decision for opening the succession and/ or division of the succession property.
• Identity documents of the heir/ heirs and/ or empowered person.
• Deeds of partition authenticated by the notary, as applicable.
• Heirs agreement request signed by all the heirs in the presence of an authorised operator of the Central Depository, as applicable.   
• Evidence of having paid the fee related to the transfer operation for mortis causa.

The aforementioned documents may be submitted through the following means:

• Via the offices of the Compania Naţionala Poşta Română S.A (Romanian National Postal Company S.A.);
• Through the Participant to the Central Depository system, should your assets be included in their accounts;

• Via mail sent to the Central Depository.
