Please be informed by the present Current Report, that ALUM S.A., subsidiary of ALRO S.A., concluded with the company CONEF GAZ S.R.L., related party of ALRO Group, on the date of March 29th, 2022, one new transaction based on a purchase contract and carried out in the period February 1st, 2022 – February 28th, 2022, the following transactions that, cumulatively exceed 5% of the Company’s net assets as per ALRO S.A. Standalone Financial Statements related to the first 6 months of 2021, amounting to RON 50,219,273, as follows:
- Transactions of ALUM S.A., subsidiary of ALRO S.A., with CONEF GAZ S.R.L., company which is under common control of ALRO Group, carried out in the period February 1st, 2022 – February 28th, 2022, in total amount of RON 19,003,323.
- Details regarding the transaction concluded on March 29th, 2022 by ALUM S.A., subsidiary of ALRO S.A., as Buyer, with the Company CONEF GAZ S.R.L., related party of ALRO Group, as Seller, containing information on the transactions date of conclusion, nature, description of its object, mutual receivables and debts are presented in Annex 3 hereto.
Details have been enclosed to this Report, as follows:
- Annex 1 - Reporting of transactions carried out during the period February 1st, 2022 – February 28th, 2022;
- Annex 2 - Reporting of contracts related to the transactions in Annex 1;
- Annex 3 - Reporting of the transactions concluded on March 29th, 2022 and of mutual debts and receivables (balances) as of February 28th, 2022.
