Significant event to be reported: Status of compliance with the Bucharest Stock Exchange’s Corporate Governance Code

Starting with 2011, ALRO S.A. Slatina (“ALRO” or “the Company”) has adhered to the Corporate Governance Code („CGC”) issued by the Bucharest Stock Exchange („BSE”). Since then, details about the Company’s compliance with the principles and recommendations stipulated under the CGC have been presented in the „Comply or Explain” statements included in the annual reports.

In order to increase the reliability of the participants in the capital market and its own competitiveness, the Company has progressively implemented the corporate governance principles in compliance with CGC’s provisions.

Following that in September 2015 BSE issued the new Code of Corporate Governance (the "Code"), our Company has decided to analyze the provisions of the new Code, the compliance with all the requirements of the Code at the end of 2015, as per the attached material.

The Company currently is in full compliance with most of these requirements and theexceptionswill be analyzed and solved according to the specifics of the Company and subsequently reported to the capital market.
